Terms & Conditions relating to partnered services with Agency MVP & LeadMaker

Agency MVP Payment Authorization

By submitting this form you are agreeing to be charged directly through your current payment terms with Agency MVP for the services you opt for through the official partnership of Agency MVP and LeadMaker.

Background

A. LEADMAKER, the “Service Provider” provides virtual assistant services including business to business marketing, but not limited to Appointment Setting, Accepting Inbound Calls and Administrative Tasks.
B. “The Client” is a Licensed insurance agent supporting local communities located in the USA.
C. The Client wishes to engage LEADMAKER on the terms set out in this Agreement.



Detailed Terms & Conditions

1. Content of this Agreement

This parties acknowledge that the content of their agreement in relation to the Service Provider’s provision of Services to the Client incorporates:

a.) The schedule set out above (“the Schedule”); and
b.) The terms as set out below,

Collectively, “this Agreement”.

2. Type of engagement and working hours

The Service Provider agrees to provide the Services to the Client in accordance with the engagement type and working hours specified in the Schedule.

3. Scope of engagement, including service and deliverables

The scope of the engagement is set out in the Schedule and includes the Services to be delivered by the Service Provider to the Client.

The following deliverables will be provided to the client:

a) Leads (List of Prospects Contact Info)

b) End of day Report, hence the virtual assistant is expected to report to the client before and after the shift.

c) Shared Files and Calendar from the Virtual Assistant

4. Payments and Other Fees

a) The client agrees to sign up for minimum of 3-months contract.

b) Service Fees are prepaid for the month in advance; hence, the invoice will be sent 1 week prior to the commencement of the next month’s service.

c) Client agrees to pay late fee of $15.00 if the invoice will not be paid 5 days from due date.

d) Payments must be paid directly to Agency MVP or to the Service Provider’s PayPal account or Bank Wire from the Client’s bank account. Under no circumstances may clients pay their Virtual Assistants directly.

e) Client agrees to sign up their VoIP/dedicated online phone system for their Virtual Assistant at their own expense.

f) The client agrees not to discuss or divulge the financial arrangements with the Service Provider with their assigned Virtual Assistant/s. Salaries are solely negotiated between the Service Provider and the Virtual Assistant/s directly.

5. Non-Disclosure Agreement

a) The Service Provider, Client and the Virtual Assistant agree to maintain the confidentiality of all company data, practices, personnel, and information.

b) Upon termination, or at any time upon the request of the Disclosing Party, the Receiving Party (The Service Provider and Virtual Assistant) shall return to the Disclosing Party (Client) all Confidential information, including all notes, data, reference materials, sketches, drawings, memorandums, documentations and records which in any way incorporate Confidential Information.

6. Other Terms and Conditions

a. The Service Provider will manage the Virtual Assistant. However, the virtual assistant is expected to communicate directly to the Client, and the Service Provider must be copied in all email transactions/minutes of the meeting.

b. It is against our company policy to directly employ the Virtual Assistant without the knowledge of the Service Provider. Hence, the Client is not allowed to directly employ the virtual assistant at any time. If the client wishes to directly employ the Virtual Assistant/s, the client pays $6,600 (USD) per Virtual Assistant to the Service Provider.

c. The Client agrees that as long as the Virtual Assistant is still an active employee of the Service Provider. No direct employment is allowed unless the Client pays $6,600 (USD) per Virtual Assistant to the Service Provider.

d. The Service Provider and the Client will negotiate the Virtual Assistant’s schedule. In cases when the Virtual Assistant experiences a personal emergency, the Service Provider will notify the Client to renegotiate expectations or provide an alternate personal assistant to fill in for that day.

e. The Client reserves the right to discontinue the project at any time, after three months and agrees to settle the balance on any unpaid projects or services. Otherwise, the Client agrees to pay the Service Provider an amount equivalent to 3 months service fee, including any unpaid projects or services

.f. The Client agrees to allocate a phone system and training budget as needed in order to train the Virtual Assistant further to meet the client’s additional needs.

g. Cancellations after the initial 3-month period will require at least a 14-day advance notice so that we can properly demobilize the VA properly and relinquish all duties and tasks that might need to be closed out properly.
